Please read these Terms of Service ("Terms") carefully before using the services offered by ISI Bot, a Wyoming limited liability company ("we," "our," "us").
1. Acceptance of Terms
By accessing or using our websites (isi-bot.com, theaibotstore.com) or services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Description of Services
ISI Bot provides:
- Pre-built AI-powered chatbot solutions for specific industries (roofing, automotive, real estate, etc.)
- Custom AI agent development tailored to your business needs
- CRM automation services using GoHighLevel and integrated platforms
- AI chatbot deployment through Closebot and Realwave platforms
- Business automation consulting and implementation
- Product demonstrations and consultations
- Related support and maintenance services
Our services leverage artificial intelligence from providers including OpenAI, Anthropic, and Thinkrr to deliver intelligent conversational experiences and business automation.
3. User Eligibility
You must be:
At least 18 years of age
Authorized to represent the business entity you're registering
Capable of forming a binding contract under applicable law
4. User Accounts and Registration
Account Creation
You may need to create an account to access certain services
You must provide accurate, current, and complete information
You are responsible for maintaining the confidentiality of your account credentials
You agree to notify us immediately of any unauthorized access
Account Responsibilities
You are responsible for all activities that occur under your account. We are not liable for any loss or damage from unauthorized use of your account.
5. SMS/Text Messaging Terms
Consent
By providing your phone number and checking the appropriate consent boxes on our forms, you agree to receive SMS messages from ISI Bot.
Message Types
Transactional: Appointment confirmations, sales follow-ups, service notifications, and support messages
Marketing: Promotional offers, AI agent product updates, industry insights, and special discounts (requires separate opt-in)
Your Rights
Reply STOP to unsubscribe from any message category at any time
Reply HELP for assistance or contact [email protected]
Message frequency varies based on your interaction with our services
Message and data rates may apply according to your carrier's plan
Consent to marketing messages is not required to purchase our services or schedule demos
Important Information
Business Name: All messages will identify as being from ISI Bot
No Emergency Use: SMS is not monitored 24/7. Do not use SMS for urgent matters or emergencies
Separate Consent Required: Entering a phone number alone does not grant SMS permission. You must explicitly check the consent boxes on our forms
No Third-Party Sharing: We do not share your phone number with third parties for their marketing purposes (except our SMS service provider for message delivery)
6. Acceptable Use Policy
You agree NOT to:
Use our services for any illegal or unauthorized purpose
Violate any laws in your jurisdiction
Infringe upon intellectual property rights of others
Transmit viruses, malware, or harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Impersonate any person or entity
Harass, abuse, or harm other users
Scrape or extract data from our services without permission
Use our services to send spam or unsolicited messages
Use our AI chatbot services to generate illegal, harmful, or misleading content
Reverse engineer our AI models or proprietary technology
Violate the acceptable use policies of our AI providers (OpenAI, Anthropic, Thinkrr)
Use our services in a manner that could harm ISI Bot's reputation or business
Remove or alter any copyright, trademark, or proprietary notices
7. Intellectual Property Rights
Our Content
All content, features, and functionality on our websites and services (including text, graphics, logos, software, AI models) are owned by ISI Bot and protected by copyright, trademark, and other intellectual property laws.
User Content
You retain ownership of any content you submit. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for providing our services.
Restrictions
You may not:
Copy, modify, or distribute our content without written permission
Reverse engineer our software or AI models
Remove any copyright or proprietary notices
8. Service Demos and Consultations
Demos are provided for evaluation purposes only
We reserve the right to decline service to any prospect at our sole discretion
Demo scheduling is subject to availability
Missed appointments may result in rescheduling limitations
Information shared during demos is confidential and subject to this agreement
9. Paid Services and Pricing
Service Offerings
We offer both pre-built AI chatbot solutions and custom AI agent development:
Pre-Built Bots: Industry-specific AI chatbots (roofing, automotive, real estate, etc.) available through The AI Bot Store
Custom Development: Tailored AI agent solutions developed specifically for your business needs
CRM Automation: GoHighLevel integration and workflow automation services
Founding Partner Program
Special pricing available for qualifying early adopters who become our first clients
No setup fees for founding partners
Monthly retainer-based pricing to reduce entry barriers
Terms subject to separate written agreement
Limited availability to build initial case studies and testimonials
Founding partner pricing may be locked in for the duration of the partnership
Payment Terms
Prices are in USD unless otherwise stated
Payment due according to invoice terms (typically monthly for ongoing services)
Late payments may result in service suspension or termination
We reserve the right to charge interest on overdue amounts as permitted by law
Setup fees (when applicable) are non-refundable
Monthly recurring fees are billed in advance
Cancellation and Refunds
Monthly services: 30-day written notice required for cancellation
Service continues until the end of the current billing period
No refunds for partial months of service
Setup fees and custom development fees are non-refundable
Early termination of fixed-term contracts may incur penalties as specified in your service agreement
Refunds processed within 10-15 business days to original payment method
10. Service Level and Availability
No Uptime Guarantee
We strive for high availability but do not guarantee uninterrupted service. We are not liable for:
Service outages or downtime
Data loss
Third-party service failures
Force majeure events
Modifications
We reserve the right to:
Modify or discontinue services at any time
Change pricing with 30-day notice for existing customers
Update features and functionality
11. Third-Party Services
Our services integrate with and depend on various third-party platforms and providers:
GoHighLevel (GHL): CRM, automation, and website platform
Closebot and Realwave: AI chatbot deployment platforms
OpenAI, Anthropic, and Thinkrr: AI model providers powering our chatbot intelligence
SMS Gateway Providers: For text message delivery
Payment Processors: For handling transactions
Your use of our services may require you to agree to the terms and conditions of these third-party providers. We are not responsible for:
Third-party service availability, performance, or failures
Changes to third-party pricing or features
Third-party data practices or security (see our Privacy Policy for data sharing details)
Compliance with third-party acceptable use policies
We may change or discontinue integration with third-party services at any time. We will provide reasonable notice when practical, but some changes may be immediate due to circumstances beyond our control.
12. Disclaimers and Warranties
AS-IS Basis
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability
AI Limitations and Disclaimers
No Guarantee of Accuracy: AI chatbots may produce errors, inaccuracies, or unexpected results
Not a Substitute for Human Judgment: AI responses should be reviewed and approved before customer-facing use
Performance Variability: AI performance may vary based on use case, input quality, and external factors
No Specific Outcomes: We do not guarantee specific performance outcomes, lead generation results, or ROI
Continuous Improvement: AI capabilities evolve over time; performance may improve or change
Compliance Responsibility: You are responsible for ensuring AI-generated content complies with all applicable laws and regulations in your industry
Third-Party AI Dependencies: Our AI capabilities depend on third-party providers (OpenAI, Anthropic, Thinkrr) whose services may change or become unavailable
No Professional Advice
Our services do not constitute legal, financial, or professional advice. Consult qualified professionals for such matters.
14. Carrier Liability Disclaimer
ISI Bot and mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to:
- Carrier network availability and coverage
- Device compatibility and settings
- Potential transmission failures or delays
- Messages sent to landlines or invalid numbers
We do not guarantee message delivery and are not responsible for:
- Messages blocked by carrier spam filters
- Technical failures in SMS transmission
- Device or carrier limitations
- Any costs, damages, or losses resulting from failed message delivery
You acknowledge that SMS is not a secure communication method and should not be used to transmit sensitive or confidential information.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Liability Cap
Our total liability for any claims related to our services shall not exceed the amount you paid us in the 12 months preceding the claim.
Excluded Damages
WE ARE NOT LIABLE FOR:
Indirect, incidental, consequential, or punitive damages
Lost profits, revenue, data, or business opportunities
Service interruptions or data loss
Third-party actions or content
Any damages exceeding $500 USD
Exceptions
Some jurisdictions do not allow limitation of certain warranties or liabilities. In such cases, our liability is limited to the extent permitted by law.
15. Indemnification
You agree to indemnify and hold harmless ISI Bot, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
Your use of our services
Your violation of these Terms
Your violation of any rights of others
Your content or data
16. Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Informal Resolution
Before filing any legal claim, you agree to contact us at [email protected] to attempt good faith informal resolution. We commit to working with you to resolve disputes directly for at least 30 days before either party may commence arbitration or litigation.
Binding Arbitration
Agreement to Arbitrate: In the interest of resolving disputes in the most expedient and cost-effective manner, you and ISI Bot agree that any dispute arising out of or in any way related to these Terms, your use of our services, or the purchase or use of any of our AI chatbot solutions will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
Arbitration is less formal than a lawsuit in court. It uses a neutral arbitrator instead of a judge or jury. Discovery is more limited, and arbitrators can award the same damages and relief that a court can award. BY ENTERING INTO THESE TERMS YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Exceptions: Despite the above, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to:
Pursue an enforcement action through the applicable federal, state, or local agency if that action is available
Seek injunctive relief in a court of law for intellectual property infringement or trade secret misappropriation
File suit in small claims court for qualifying disputes
Arbitration Procedures:
The arbitration will be governed by the Federal Arbitration Act
The AAA Rules and filing forms are available online at www.adr.org
Any arbitration hearing will take place in Laramie County, Wyoming, or another mutually agreed upon location
The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement
Notice Process: A party who intends to seek arbitration must first send a written notice of the dispute to the other party by U.S. Mail or email ("Notice"). ISI Bot's address for Notice is [email protected]. The Notice must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought.
Fees: If you commence arbitration in accordance with these Terms, ISI Bot will reimburse you for your payment of the filing fee, unless your claim is for more than $15,000. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose (as measured by Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules and you agree to reimburse ISI Bot for all monies previously disbursed that are otherwise your obligation to pay.
No Class Actions: YOU AND ISI BOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and ISI Bot agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
Enforceability: If the "No Class Actions" provision is found to be unenforceable or if the entirety of this arbitration provision is found to be unenforceable, then the entirety of this arbitration provision will be null and void and, in that case, both you and ISI Bot agree that the exclusive jurisdiction and venue described below will govern any action arising out of or related to these Terms.
Jurisdiction for Non-Arbitrated Claims
For any disputes not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the courts located in Laramie County, Wyoming.
17. Termination
By You
You may terminate your account at any time by contacting us.
By Us
We may suspend or terminate your access immediately if you:
Violate these Terms
Engage in fraudulent activity
Fail to pay fees owed
Create risk or legal exposure for us
Effect of Termination
Your right to use services ceases immediately
We may delete your data (subject to legal retention requirements)
Provisions that should survive termination (liability limitations, indemnification) remain in effect
18. Changes to Terms
We may modify these Terms at any time by:
Posting updated Terms on our website
Updating the "Last Updated" date
Notifying you via email (for material changes)
Continued use after changes constitutes acceptance of the new Terms.
19. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ISI Bot.
Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver
Failure to enforce any right or provision does not constitute a waiver.
Assignment
You may not assign these Terms. We may assign our rights to any affiliate or successor.
Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
